Terms of Service

By creating an account on ProMan or otherwise using the service, you agree to these Terms of Service (“Terms”). If you’re using ProMan on behalf of an organization, you represent that you have authority to bind that organization, and “you” in these Terms means that organization. If you don’t agree to these Terms, don’t use the service.

ProMan is a software-as-a-service (SaaS) project-management platform operated by Cotek FZ LLC (“Cotek”, “we”), including a web application at proman.cotek.app, associated APIs, and supporting services. Features, pricing, and behaviour may change over time; material changes are announced in advance.

You’re responsible for keeping your account credentials secret, for all activity that occurs under your account, and for notifying us immediately at support@cotek.live if you suspect unauthorized access. We hash passwords with bcrypt and never log them, but no system is perfect — good password hygiene on your end matters.

You agree not to (and not to let anyone else) use ProMan to: host or transmit illegal content; harass, threaten, or defame other users; reverse-engineer, decompile, or circumvent technical protections; circumvent plan limits or rate limits; or run automated scraping against our APIs in excess of published rate-limits. Full details are in our Acceptable Use Policy, which is part of these Terms.

Paid plans are billed monthly or yearly in advance via Stripe. Subscriptions auto-renew at the end of each period unless cancelled. Fees are non-refundable except where required by law or as stated in section 6.

We may change pricing at any time. For existing customers, pricing changes take effect on the renewal after we’ve given you at least 30 days’ notice by email.

You can cancel your subscription any time from the Customer Portal in the app. Monthly plans continue until the end of the paid period, then end. Yearly plans are refundable on a pro-rated basis within the first 14 days of the billing period; after 14 days, yearly plans continue until the end of the year with no refund.

After cancellation, your data remains accessible in read-only mode for 30 days so you can export it. After 30 days, we delete the account and associated personal data as described in our Privacy Policy.

You own your content. Anything you create or upload in ProMan — projects, tasks, files, comments — remains yours. You grant Cotek a worldwide, non-exclusive, royalty-free license to host, store, process, and display your content solely to operate the service for you. This license ends when you delete the content or the account.

ProMan, including its software, design, branding, and “ProMan” and “Cotek” trademarks, is owned by Cotek FZ LLC or its licensors and is protected by copyright, trademark, and other intellectual-property law. These Terms do not grant you any license to our marks except as needed to identify ProMan as the service you’re using.

Each party agrees to keep the other’s confidential information confidential and to use it only in connection with the service. Your confidential information includes your content; ours includes non-public technical details about how ProMan works.

We work hard to keep ProMan available. For paid plans we aim for 99.5% uptime measured monthly. There’s no formal SLA on the free plan. Planned maintenance, outages of our upstream providers (Vercel, Neon), and force majeure events are excluded from uptime calculations.

The service is provided “as is” and “as available”. To the maximum extent permitted by law, Cotek disclaims all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We don’t warrant that the service will be uninterrupted, error-free, or that results obtained from it will be accurate or reliable.

To the maximum extent permitted by law, Cotek’s total liability to you for any claim arising out of or related to the service is limited to the amount you paid us for the service in the 12 months preceding the event giving rise to the claim. In no event will we be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.

You agree to defend, indemnify, and hold harmless Cotek and its officers, directors, and employees from any claims, damages, or costs (including reasonable legal fees) arising out of your use of the service in violation of these Terms, or your content.

You can terminate by cancelling your subscription and deleting your account. We can terminate or suspend your account if you materially breach these Terms (including the Acceptable Use Policy) or if payment is past-due by more than 30 days. Where possible we’ll give notice and an opportunity to remedy before terminating.

These Terms are governed by the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Ras Al Khaimah, without regard to conflict-of-laws principles.

The parties will first attempt to resolve any dispute through good-faith negotiation. If we can’t resolve it within 60 days, the dispute will be submitted to the exclusive jurisdiction of the courts of Ras Al Khaimah Economic Zone (RAKEZ), UAE. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction for urgent matters.

We may update these Terms from time to time. For material changes we’ll give at least 30 days’ notice by email and an in-app banner. Your continued use of the service after the changes take effect means you accept the updated Terms.
